Job Description:

We are looking for a proactive and detail-oriented Company Secretary Management Trainee who is eager to learn and support the Company Secretary on statutory and other event-based compliances for XIL and its group Companies. The candidate will be involved in corporate governance, regulatory filings, and internal compliance processes.


Key learnings:

  • Board, Committee and General Meeting organization and preparation of pre and post documents.
  • Preparation and filing of forms, returns, applications with the Ministry of Corporate Affairs (MCA) and other regulatory authorities.
  • Drafting of Annual Reports, Directors’ Reports, and Corporate Governance Reports.
  • Updation of statutory registers and records as required under the Companies Act, 2013 and other applicable laws.
  • Research on corporate laws, secretarial standards, and regulatory updates and amendments.
  • Drafting and vetting of legal and corporate documents, resolutions, policies, and procedures.
  • Preparing and updating compliance calendar and other reports.
  • Event-based compliances such as, shifting of RO, Share transfer, conversions, etc.


Eligibility Criteria:

1.Educational Qualification:

  • Must have passed ICSI Executive Program (at minimum) and completed EDP.
  • Ideally, candidates be pursuing Professional Program

2.Membership Status:

  • The individual should be registered with ICSI and eligible for training.
  • Should have obtained or applied for the Executive Pass Certificate from ICSI.

3.Training Requirement:

  • The candidate must be looking to undergo the 21-month Management Training as prescribed by ICSI (as part of the CS curriculum).

4.Eager to learn and should have proactive approach.

5.Good communication and drafting skills.

6.Basic knowledge of corporate laws, SEBI regulations, FEMA, etc.

7.Proficiency in MS Office and legal databases (like MCA21, RBI, SEBI websites).

8.Ability to handle compliance and secretarial work.

9.Awareness of the latest amendments in corporate governance.
