Job Profile
The role will be responsible for managing corporate governance, secretarial compliances, regulatory filings, and board processes while ensuring adherence to the Companies Act, SEBI Regulations, FEMA, and other applicable laws.
Key Responsibilities
- Manage end-to-end secretarial compliances under the Companies Act, 2013, SEBI Regulations, FEMA, and other applicable laws.
- Organize and facilitate Board, Committee, and Shareholder Meetings, including preparation of Notices, Agenda, Minutes, Resolutions, and supporting documents.
- Ensure timely statutory filings, disclosures, and regulatory submissions with MCA, ROC, Stock Exchanges, RBI, Depositories, and other authorities.
- Lead the preparation and review of Annual Reports, Corporate Governance Reports, and other statutory documentation. Manage corporate actions including issuance and allotment of shares, rights issues, private placements, preferential allotments, debentures, and other securities.
- Support strategic initiatives such as mergers, acquisitions, amalgamations, restructuring, and due diligence activities.
- Maintain statutory registers, records, and secretarial databases, ensuring accuracy and compliance.
- Liaise with regulatory authorities, RTAs, DPs, auditors, legal advisors, and internal stakeholders on compliance and governance matters.
- Monitor regulatory changes and advise management on their impact and implementation.
- Provide secretarial and governance support to senior leadership while ensuring adherence to best corporate governance practices.
Ideal Candidate Profile:
7+ years of post-qualification experience in Secretarial and Compliance functions. Experience in a listed company is preferred. Strong knowledge of Companies Act, SEBI Regulations, FEMA, and corporate governance practices. Excellent drafting, communication, and stakeholder management skills.
