Job Description
ABOUT THE ROLE
We are looking for a dynamic and detail-oriented Company Secretary with 5–6 years of post-qualification experience, preferably in an NBFC or regulated financial services environment. The candidate will be responsible for ensuring corporate governance, regulatory compliance, secretarial functions, and supporting the Board and senior management in legal and compliance matters.
The role requires strong knowledge of RBI regulations applicable to NBFCs, Companies Act compliances, corporate governance practices, and stakeholder management skills.
KEY RESPONSIBILITIES
Secretarial & Corporate Governance
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, and applicable corporate laws.
- Organize and manage Board Meetings, Committee Meetings, and Shareholders’ Meetings.
- Prepare agenda papers, notices, minutes, resolutions, and maintain statutory records/registers.
- Support implementation of corporate governance best practices across the organization.
- Handle ROC filings, annual filings, event-based compliances, and secretarial audits.
RBI & NBFC Regulatory Compliance
- Assist in ensuring compliance with RBI regulations and NBFC regulatory framework.
- Coordinate with internal stakeholders for timely submission of RBI returns and regulatory filings.
- Support implementation and monitoring of regulatory policies and governance frameworks.
- Track changes in regulatory requirements and advise management on implications.
Stakeholder Management
- Liaise with regulators, auditors, consultants, legal counsels, and other external stakeholders.
- Coordinate with business, finance, risk, compliance, and operations teams for governance-related matters.
- Support investor-related and lender-related documentation and compliance requirements.
Governance & Reporting
- Prepare compliance dashboards, governance reports, and Board MIS.
- Monitor action items arising from Board and Committee meetings.
- Maintain proper documentation and records management systems.
DESIRED SKILLS & COMPETENCIES
- Strong knowledge of Companies Act, FEMA, RBI regulations, and NBFC compliances
- Good understanding of corporate governance and regulatory frameworks
- Excellent drafting and communication skills
- Ability to independently manage Board processes and compliances
- Strong analytical and coordination skills
- High level of integrity, confidentiality, and professional ethics
PREFERRED EXPERIENCE
- Experience in NBFCs, Fintechs, banks, or regulated financial institutions
- Exposure to RBI inspections, secretarial audits, and Board governance processes
- Experience in handling committees such as Audit Committee, Risk Management Committee, ALCO, CSR Committee, etc., would be an added advantage.

QUALIFICATION:
- Qualified Company Secretary (Member of ICSI)
- LLB preferred
- Additional certifications in compliance, FEMA, RBI regulations, or corporate governance would be an advantage.
